These Terms and Conditions (hereinafter referred to as “Terms”, “Agreement”, or “T&C”) govern your relationship with CENE8 DISTRIBUTION INC (referred to as “CENE8”, “we”, “us”, or “our”) when you visit our website cene8.space, purchase our products (including but not limited to plastic drop cloths, painter’s tapes, masking tapes, paint brushes, and roller kits), or otherwise interact with our services.

Please read these Terms carefully before using our website or placing any order. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree with any part of them, you must not use our website or purchase our products.

Important: These Terms contain provisions that limit our liability, require arbitration of disputes on an individual basis (not class actions), and govern your use of our payment processing through Stripe.

CENE8 DISTRIBUTION INC is a company organized and existing under the laws of the State of Alaska, USA. Our primary business is the distribution of painting supplies, surface protection products, and related accessories to customers in the United States and internationally.

1.2 Acceptance of Terms

By using our website, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into a binding contract. If you are using the website on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

Changes will be effective immediately upon posting on this page, with the “Last Updated” date revised. Your continued use of the website after any changes constitutes acceptance of those changes. 3.1 Eligibility

You may use our website and purchase Products only if you:

• Are at least 18 years old.

• Have a valid payment method accepted by Stripe (credit/debit card, Apple Pay, Google Pay).

• Provide accurate, current, and complete information during checkout.

• Are not located in a country subject to U.S. trade sanctions or embargoes (see Section 7.4 for restricted regions).

3.2 Account Creation

You are not required to create an account to place an order. However, creating an account offers benefits such as order history, faster checkout, and saved addresses. If you choose to register:

• You agree to accept responsibility for all activities that occur under your account.

4. Products & Pricing

4.1 Product Descriptions

We strive to provide accurate descriptions, images, and specifications for all Products. However, we do not warrant that product descriptions, colors, dimensions, or other content are error‑free, complete, or current. If a Product offered by CENE8 is not as described, your sole remedy is to return it in unused condition under our Return Policy.

Example: Our plastic drop cloths are described as 12×9 ft (144″ × 108″). Slight manufacturing tolerances (±2%) are normal and do not constitute a defect.

4.2 Pricing

All prices are listed in U.S. Dollars (USD) and do not include shipping, taxes, or duties unless explicitly stated. We reserve the right to change prices at any time without notice. However, price changes will not affect Orders that have already been confirmed (i.e., you have received an Order Confirmation email).

Price Errors: In the unlikely event that a Product is listed at an incorrect price due to typographical, technical, or other error, we reserve the right to cancel the Order and refund any amounts paid, even after sending an Order Confirmation.

4.3 Taxes

Sales tax is applied to Orders shipped to states where we have a legal obligation to collect tax (currently Alaska, but may expand). The tax amount shown at checkout is final. For international Orders, you are responsible for any import duties, customs fees, VAT, or GST imposed by your country. We do not collect these; you will pay them directly to the carrier or customs authority.

4.4 Promotions & Coupons

From time to time, we may offer promotional codes, discounts, or bundle deals. Such offers are subject to specific terms (expiration dates, minimum purchase requirements, one‑time use, etc.) and cannot be combined unless explicitly stated. Coupon codes must be entered at checkout before payment; we cannot retroactively apply discounts.

5. Orders & Acceptance

5.1 Order Process

The following steps constitute a binding contract:

1. You select Products and add them to your cart.

2. You provide shipping and payment information.

3. You submit the Order by clicking “Place Order”.

4. We send an automatic Order Confirmation email (this is not acceptance, just acknowledgment).

5. We then perform a final verification (inventory, payment authorization, fraud check). If everything passes, we accept the Order and send a Shipping Confirmation email with tracking.

6. Acceptance occurs at the moment we dispatch the Products (or when we send the Shipping Confirmation, whichever is earlier).

5.2 Right to Cancel Orders

We reserve the right to cancel any Order for any lawful reason, including but not limited to:

• Product is out of stock and no longer available.

• Payment authorization is declined or flagged as fraudulent.

• Pricing error as described in Section 4.2.

• Shipping address is in a restricted region (see Section 7.4).

• We suspect the Order is for resale without a wholesale agreement.

If we cancel your Order, we will notify you and issue a full refund to your original payment method within 2–5 business days.

5.3 Order Changes & Cancellations by You

You may request to change or cancel your Order within 2 hours of placing it, provided the Order has not yet been processed for shipping. To do so, call us immediately at cene8.space or email cenedistribution29@gmail.com with “URGENT – ORDER CHANGE” in the subject line. After 2 hours or once the Order is packed, we cannot modify it; you must wait to receive the Products and then initiate a return under our Return Policy.

6. Payments & Stripe Processing

6.1 Payment Methods

We accept:

• Visa, Mastercard, American Express, Discover, Diners Club, JCB (credit and debit).

• Apple Pay.

• Google Pay.

All payments are processed through Stripe, Inc., a globally recognized payment gateway. By providing your payment information, you authorize us to charge the total amount (including shipping and taxes) to your chosen card or digital wallet.

6.2 Authorization & Holds

When you place an Order, Stripe may place a temporary authorization hold on your card for the estimated amount. This is not a charge; it will typically drop off within 3–7 business days. The actual charge occurs when we ship your Products (or immediately for digital gift cards).

6.3 Stripe’s Role

Stripe is an independent third party. Your use of Stripe is also subject to Stripe’s own terms of service and privacy policy. CENE8 is not responsible for any errors or delays caused by Stripe, your bank, or your card issuer.

6.4 Currency Conversion

For international payments, your card issuer will convert USD to your local currency at their exchange rate. CENE8 does not add any currency conversion fee. However, your bank may charge a foreign transaction fee – please check with them.

6.5 Security

We are PCI DSS compliant by using Stripe. We never store full credit card numbers on our servers. For more details, see our Payment Methods page and Privacy Policy.

7. Shipping & Delivery

7.1 Shipping Destinations

We ship to all 50 U.S. states (including Alaska, Hawaii, and APO/FPO addresses) and over 30 international countries (including Canada, UK, Australia, Germany, France, Japan, etc.). If your country is not listed at checkout, please contact us – we may be able to arrange a quote.

7.2 Shipping Carriers & Methods

We primarily use USPS, UPS, FedEx, and DHL. The carrier is chosen based on weight, destination, and speed. Standard shipping is 3–7 business days for domestic orders; expedited (1–3 days) is available at an additional cost. International shipping typically takes 7–20 business days (customs clearance may add delays).

7.3 Shipping Costs

Shipping costs are calculated at checkout based on weight, dimensions, and destination. We offer free standard shipping on domestic orders over $35 (before tax). International shipping is always paid by the customer.

7.4 Prohibited Regions

Due to U.S. trade sanctions, we do not ship to: Cuba, Iran, North Korea, Syria, Crimea, Donetsk, Luhansk, or any other region prohibited by the Office of Foreign Assets Control (OFAC). We also reserve the right to refuse orders from countries with high fraud rates.

7.5 Risk of Loss

Title and risk of loss pass to you upon delivery to the carrier (i.e., when we hand the package to USPS/UPS/FedEx). However, we will assist you with filing claims for lost or damaged packages. Please see our Return Policy for damaged items.

7.6 Delivery Delays

We are not liable for delays caused by weather, carrier strikes, customs clearance, or other events beyond our reasonable control. You will receive tracking information; we encourage you to monitor it. If a package is marked “delivered” but you did not receive it, please contact the carrier first. We will help investigate but are not responsible for porch theft – we recommend shipping to a secure location.

8. Returns, Refunds & Warranties

Note: A complete version of our Return Policy is available on a separate page. These Terms incorporate that policy by reference. In case of conflict, the standalone Refund and Return Policy shall govern.

8.1 30‑Day Return Window

You may return most new, unused Products within 30 days of delivery for a full refund of the purchase price (excluding original shipping, unless our error). Conditions apply – see the full Return Policy.

8.2 Damaged or Defective Items

If you receive a damaged, defective, or incorrect item, contact us within 48 hours of delivery with photos. We will provide a pre‑paid return label and issue a full refund or replacement.

8.3 Warranty

In addition to the 30‑day return period, we offer limited warranties as described in our Return Policy (6 months for drop cloths, 90 days for tapes, 1 year for brush bristles). These warranties are non‑transferable and only apply to the original purchaser.

8.4 Exchanges

We do not offer direct exchanges. Instead, you return the unwanted item for a refund and place a new order for the desired product. This is faster for you.

9. Intellectual Property

9.1 Our Content

All content on the website – including text, graphics, logos, product images, videos, software, and code – is the property of CENE8 DISTRIBUTION INC or its content suppliers and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

To the fullest extent permitted by law, CENE8 DISTRIBUTION INC provides the website and all products “as is” and “as available” without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement.

We do not warrant that:

• The website will be uninterrupted, secure, or error‑free.

• Any defects or errors will be corrected.

• The products will meet your specific requirements (e.g., we cannot guarantee that our drop cloth will be 100% impervious to all chemicals – please test in a small area first).

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such cases, implied warranties are limited to the shortest permissible duration under applicable law (not to exceed 30 days).

Exceptions: Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by applicable law.

16. Governing Law & Dispute Resolution – Arbitration

16.1 Governing Law

These Terms and any dispute arising out of or relating to them or your purchase of Products shall be governed by the laws of the State of Alaska, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

16.2 Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the website, or the products (including breach, enforcement, interpretation, or validity) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in effect at the time the claim is filed.

• Location of arbitration: AUSTIN, Alaska (or by videoconference if you live more than 100 miles away).

• Arbitrator’s powers: The arbitrator may award the same damages and relief as a court (including injunctive relief), but must follow these Terms.

• Costs: We will pay all filing, administration, and arbitrator fees for claims totaling less than $10,000. For larger claims, costs will be split as per AAA rules.

• Opt‑out: You may opt out of this arbitration provision within 30 days of your first purchase by sending a written notice to our address or email stating your name, order number, and clear “opt‑out” language. If you opt out, disputes will be resolved in small claims court or state/federal court in AUSTIN, Alaska, as allowed by law.

16.3 Small Claims Court Alternative

Either party may bring an individual action in small claims court in AUSTIN, Alaska (or the small claims court in your county if it has jurisdiction, provided your claim is within its monetary limits) instead of arbitration, as long as the action remains in small claims court and is not removed or appealed to a higher court.

17. Class Action Waiver

You and CENE8 DISTRIBUTION INC agree that any arbitration or court proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. Claims from multiple customers cannot be joined or arbitrated together. If for any reason a dispute proceeds in court rather than arbitration, you waive the right to participate in a class action lawsuit.

If this class action waiver is found unenforceable, then the entire arbitration provision (Section 16) shall be null and void, and the dispute shall proceed in court in AUSTIN, Alaska.

18. Severability & Waiver

18.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator, the remaining provisions shall continue in full force and effect. The invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving the parties’ intent.

18.2 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision in the future. Any waiver must be in writing and signed by an authorized representative of CENE8.

Changes are effective immediately for new users and for existing users 30 days after posting (except changes to dispute resolution or arbitration, which are effective 30 days after notice). Your continued use of the website after the effective date constitutes acceptance.

If you do not agree to the revised Terms, you must stop using the website and cancel any pending orders (provided they have not shipped).
